The companies of the Yoda Group, athics – athilab – CT Innovation, offer consulting services and develop digital solutions that transform technological and process innovation into value for Companies, Organizations and Public Administrations. The aforementioned companies adopt a Quality Management System (QMS) according to the UNI EN ISO 9001:2015 standard, sometimes certified, and follow some guiding principles that are an integral part of the corporate culture, as a specific vocation of the founders and partners and an unifying element of all the staff.
The principles around which the entire activity of the aforementioned companies of the Yoda Group is oriented are respect for human rights, without discrimination of any kind, safety and health in the workplace, the valorization of work and property, whether corporate, employees or third parties who come into contact with them.
The Code of Ethics is the basis of all regulations and directives that have a more specific or detailed nature. It must be applied in accordance with the laws and regulations in force, in particular with the legislation in force on dependent work and industrial relations. All employees are responsible for its application as well as partners, managers, executives and collaborators.
The Code contains rules, expression of the guiding principles, regarding individual and category responsibilities, as well as responsibilities towards employees, customers, suppliers and other interested parties, more specifically it deals with:
compliance with the laws and other regulatory provisions in force;
the protection of confidential information and other property of both the various companies of the Yoda Group and the various counterparties;
the protection and correct use of the assets of the aforementioned Companies and third parties;
the relationships of the individual Companies with their employees and the relationships of the personnel inside and outside the company;
the protection of the environment.
I. Compliance with laws and other applicable regulations
The Yoda Group companies and their staff base their conduct in the company and in the company’s relationships with third parties on the most scrupulous respect of the law and other applicable regulations, with particular reference to regulations relating to safety at work, the processing of company information, employees and third parties, the processing of information of corporate relevance relating to production processes or guaranteed by industrial property rights or copyright, the correct conduct of public or private tenders.
Employees, also in order to ensure compliance with the regulations protecting fair competition and antitrust, are bound by the same obligations of confidentiality and non-disclosure of information that could give an undue advantage to competitors of the Yoda Group companies or to competitors of their client companies or their suppliers.
II. Protection of confidential information
Employees of the Yoda Group companies are aware that their confidentiality obligations constitute specific fulfillment of their loyalty obligations provided for by law also pursuant to art. 2105 of the Civil Code and undertake to:
not disclose to anyone information that the Yoda Group companies have not made public, except to persons expressly authorized by them to receive it or to persons to whom such information must be transmitted as provided for by the duties assigned to the employee;
not access, duplicate, reproduce or use, either directly or indirectly, information owned by the company, except in the context of the tasks and work with the relevant Yoda Group company;
promptly report the fact to the superior as soon as they learn of an illicit use or treatment by others of confidential information;
not store information of the relevant Yoda Group company on private computers or other media not provided by the company itself unless explicitly agreed with the Management;
not store information of the relevant Yoda Group company at home or elsewhere unless explicitly agreed with the Management;
not to take information from the relevant Yoda Group company outside the office to which they belong except for professional purposes and to bring it back to the office as soon as such tasks are completed.
Information from the relevant Yoda Group company means all information relating to the organisation and methods of company production and marketing, to the products, whether already produced and/or marketed, or in the study or experimentation phase, to the names of customers and other parties, such as financiers, banks, suppliers, with whom the relevant Yoda Group company has, or has had, relations work or may have future work relationships as a result of current or past contacts, including negotiations, such as exchange of letters of intent or confidentiality agreements, access to data rooms or other.
III. Protection and correct use of the Company’s assets and those of third parties
Employees are aware of the obligations of civil law and criminal law applicable to anyone, which prohibit appropriating or damaging the assets of the company, or of third parties, customers or suppliers or other companies with which they are called to collaborate for the relevant Yoda Group company, as well as other employees. In particular, assets of particular value include intellectual assets, which include, among other things, software programs, technical documentation and inventions, whether or not subject to special protection in the form of copyright, patent, trademark or other form of exclusive rights. Intellectual property created by employees in the course of their work is transferred and assigned to the relevant Yoda Group company in accordance with applicable laws and/or other agreements, according to the specific regulations applicable to the type of employment relationship, without prejudice to the exceptions provided for by international conventions, local laws or particular agreements.
Employees undertake to follow the instructions received and, in case of doubt, to ask for clarification on how to act to protect such property. Company communication systems, including Internet connections, must be used only to carry out company activities or for other authorized instrumental purposes and the Yoda Group company to which the employee belongs reserves the right to access such connections to ensure the achievement of company purposes in compliance with applicable privacy regulations.
The employee must always take care to follow the instructions on the use of passwords or PIN codes assigned to him. Improper use of communication systems includes, but is not limited to, processing, transmission, retrieval, access, display, storage, printing, and more generally, dissemination of fraudulent, harassing, threatening, illegal, racist, sexually oriented, or worse child pornography, or obscene, intimidating, defamatory, or otherwise inconsistent with professional conduct, materials and data. Even after termination of employment, the former employee remains subject to restrictions on the use and disclosure of proprietary information of the Yoda Group Company for which he or she worked.
IV. Relationships of the Yoda Group company with its employees and relationships of personnel inside and outside the company
The Yoda Group companies are committed to fully respecting the human rights of employees and to ensuring that such respect is ingrained in mutual relationships between employees, as an expression of a shared culture even before compliance with the obligations imposed by mandatory regulations.
Upon hiring, employees are invited to read and understand EU Regulation 975/99 on the implementation of democracy, the rule of law and human rights.
No discrimination is permitted on the basis of race, color, sex, sexual preferences and orientation, marital status, pregnancy, maternity or paternity, religion, political opinions, nationality, ethnic or social origin, social status, disability, age, union membership or other characteristics that are irrelevant to the merit of the work activity.
The companies of the Yoda Group believe it is of paramount importance that all personnel are characterized and characterized, both in relationships within the company and in relationships with third parties, by a style of consideration, respect and mutual appreciation of the personalities and working methods of others, which avoids ordinary if not crude ways, or ways that could create reasons for embarrassment as regards the sensitive personal peculiarities referred to in the preceding paragraph. The highest priority of the companies of the Yoda Group is the protection of the health and safety of their employees, for every aspect of working conditions, noise level, temperature, ventilation, lighting, quality and access to toilets, as well as the protection of the privacy of employees and other people who come into contact with the company, raising awareness among personnel to avoid all forms of intrusion into the personal lives of others that are not authorized by the interested parties.
V. Environmental Protection
For the Yoda Group companies, the environment is not only the framework and space in which everyone is immersed, but also the context in which the products and services offered to Customers are harmoniously inserted. Consequently, one of the objectives of the Yoda Group companies is the reduction of energy consumption of the products and services offered to Customers. In this perspective, the Yoda Group companies promote, also by raising awareness among their staff, these lines of action, energy saving through:
the purchase of low energy consumption equipment;
the adoption of cloud solutions in which the shared use of processing resources does not involve additional energy costs;
the use of teleworking to reduce consumption related to individual employee transportation.
Furthermore, the Yoda Group companies promote environmental respect by making extremely limited use of paper and adopting, wherever possible, the digital exchange of documents.
Employees are required to consider environmental issues according to a professional approach and to help the Yoda Group companies develop and exploit the opportunities that technology can offer to help create sustainable development, both in the organization of work and the company, and in the preparation of the products and services offered to Customers.
